Whether you're shifting your company within the same city, to another state, or across jurisdictions SSATAX handles every MCA filing, ROC approval, and GST update so your business never misses a beat.
+ Govt Fees
Overview
Every company registered in India must have a Registered Office (RO) the official address on record with the Ministry of Corporate Affairs (MCA). All statutory notices, government correspondence, and legal documents are sent to this address.
When a company relocates whether within the same city, to a different city in the same state, or to an entirely different state the change must be legally filed with the MCA / Registrar of Companies (ROC) under the Companies Act, 2013. Failure to update this leads to legal complications, MCA penalties, and invalid ROC records.

Applicability
Any company or entity registered in India that shifts its official address must comply.
Pvt Ltd companies relocating office must file INC-22 within 30 days and update MOA if inter-state.
Public companies have additional newspaper publication requirements and shareholder approval for RO change.
LLPs must file Form 15 with MCA to update their registered office address distinct from company forms.
OPCs follow a simplified process similar to Pvt Ltd but with single-director resolution requirements.
Non-profit companies registered under Section 8 must file with ROC and may need additional approvals.
Indian subsidiaries of foreign companies must notify both MCA and their parent jurisdiction of address changes.
Updated Regulations
MCA has tightened address change norms significantly. Know what's new before you file.
All registered office change forms must be filed exclusively through the new MCA V3 portal. The legacy V2 portal is fully decommissioned. SSATAX is fully trained and operational on MCA V3.
As of FY 2025-26, address proof documents (utility bills, rent agreements, NOC from owner) must be not older than 2 months. Older documents lead to automatic rejection.
All forms including INC-22, MGT-14, and INC-23 now require Class 3 Digital Signature Certificates only. Class 2 DSCs are no longer accepted by MCA.
For inter-state (Type 4) office change, publication in two newspapers (one English, one regional language of the new state) is mandatory before filing with the Regional Director.
Regional Directors are now scrutinizing inter-state applications more closely, requiring a detailed creditor NOC declaration and affidavit from directors confirming no pending litigation.
GSTN now requires companies to update their registered address on the GST portal within 15 days of MCA approval. Failure leads to GST return mismatches and possible GSTIN suspension.
MCA has introduced random physical verification of registered offices. The new address must be genuinely operational and display the company name board.
The 30-day filing window post Board Resolution is now strictly enforced with automated penalty triggers on the MCA system.
