What is Change in Registered Office?

Every company registered in India must have a Registered Office (RO) the official address on record with the Ministry of Corporate Affairs (MCA). All statutory notices, government correspondence, and legal documents are sent to this address.

When a company relocates whether within the same city, to a different city in the same state, or to an entirely different state the change must be legally filed with the MCA / Registrar of Companies (ROC) under the Companies Act, 2013. Failure to update this leads to legal complications, MCA penalties, and invalid ROC records.

📅 Filing Deadline 2025-26 A Board Resolution must be passed and Form INC-22 filed with the ROC within 30 days of the change. For inter-state changes, Central Government approval via RD (Regional Director) is also needed. SSATAX tracks every deadline for you.

Consequences of Not Updating Registered Office

  • MCA penalty of ₹1,000 per day for non-filing of INC-22 beyond 30 days
  • Company marked as defaulter on MCA portal affects credibility
  • Legal notices sent to old address may go unanswered, causing court defaults
  • GST returns and notices go to wrong address possible GST suspension
  • Bank and financial institutions reject address mismatches
  • Directors personally liable for continued non-compliance under Section 12
  • ROC may initiate strike-off proceedings for long-term non-compliance
  • Difficulty obtaining loans, tenders, government contracts with invalid address

Who Needs to File Change in Registered Office?

Any company or entity registered in India that shifts its official address must comply.

Private Limited Company

Pvt Ltd companies relocating office must file INC-22 within 30 days and update MOA if inter-state.

LLP (Limited Liability Partnership)

LLPs must file Form 15 with MCA to update their registered office address distinct from company forms.

One Person Company (OPC)

OPCs follow a simplified process similar to Pvt Ltd but with single-director resolution requirements.

Section 8 / NGO Companies

Non-profit companies registered under Section 8 must file with ROC and may need additional approvals.

Foreign Company Subsidiaries

Indian subsidiaries of foreign companies must notify both MCA and their parent jurisdiction of address changes.

New Rules & Regulations FY 2025-26

MCA has tightened address change norms significantly. Know what's new before you file.

MCA V3 Portal Mandatory e-Filing

All registered office change forms must be filed exclusively through the new MCA V3 portal. The legacy V2 portal is fully decommissioned. SSATAX is fully trained and operational on MCA V3.

Stricter Proof of Address Requirements

As of FY 2025-26, address proof documents (utility bills, rent agreements, NOC from owner) must be not older than 2 months. Older documents lead to automatic rejection.

DSC Class 3 Only Valid DSC

All forms including INC-22, MGT-14, and INC-23 now require Class 3 Digital Signature Certificates only. Class 2 DSCs are no longer accepted by MCA.

Newspaper Publication Inter-State Change

For inter-state (Type 4) office change, publication in two newspapers (one English, one regional language of the new state) is mandatory before filing with the Regional Director.

NOC from Creditors Enhanced Scrutiny

Regional Directors are now scrutinizing inter-state applications more closely, requiring a detailed creditor NOC declaration and affidavit from directors confirming no pending litigation.

GST Amendment Mandatory Within 15 Days

GSTN now requires companies to update their registered address on the GST portal within 15 days of MCA approval. Failure leads to GST return mismatches and possible GSTIN suspension.

Physical Verification by ROC

MCA has introduced random physical verification of registered offices. The new address must be genuinely operational and display the company name board.

30-Day Hard Deadline Enforced

The 30-day filing window post Board Resolution is now strictly enforced with automated penalty triggers on the MCA system.

Frequently Asked Questions Registered Office Change 2025-26

Our experts answer the most common questions about company address change in India.

After passing a Board Resolution for the change in registered office, the company must file Form INC-22 with the ROC within 30 days. Missing this deadline attracts a penalty of ₹1,000 per day of delay. For inter-state changes, the process begins with a Board Resolution but requires Regional Director approval which may take 45–90 days in total.
Yes, you can use a residential address as your registered office in India, provided you have the owner's written NOC (No Objection Certificate), a valid proof of address (utility bill not older than 2 months), and the address is within the same jurisdiction (city/state as required). However, MCA's 2025 physical verification drive means companies must also have the company name displayed on a board at this address.
INC-22 is filed with the ROC to notify the change of registered office (used for same-city and same-state same-ROC changes). MGT-14 is filed to record the special resolution passed by shareholders (required for inter-state changes and same-state different-ROC changes). INC-23 is the application to the Regional Director for approval of inter-state or same-state different-ROC office change this is the most complex filing requiring creditor NOC, newspaper publication, and RD hearing. SSATAX handles all three.
Yes, only for inter-state (Type 4) change. Since the "Situation Clause" in the MOA mentions the state of the registered office, an inter-state shift requires amending the MOA with shareholder approval (special resolution) and Regional Director approval. For changes within the same state (Types 1, 2, 3), MOA amendment is not required.
Processing time varies by change type: Same city 7 to 10 working days. Same state, same ROC 10 to 15 days. Same state, different ROC 30 to 45 days (requires RD approval). Inter-state 45 to 90 days (requires RD approval, newspaper publication, MOA amendment). SSATAX follows up proactively with MCA/ROC to keep processing within these timelines.
Absolutely and it's now mandatory within 15 days of MCA approval. You must file an amendment application on the GST portal with the new address proof. If you operate across multiple states, you may need a new GST registration in the new state while surrendering the old one. SSATAX coordinates GST, Income Tax, PAN address, PF/ESI, and bank account updates in one streamlined process.
No newspaper publication is only required for Type 3 (same state, different ROC) and Type 4 (inter-state) changes, as part of the Regional Director approval process. For same-city (Type 1) and same-state same-ROC (Type 2) changes, no newspaper advertisement is needed. SSATAX identifies your type and handles publication coordination where required.
Yes. An LLP must file Form 15 with MCA to change its registered office. The process requires a resolution of designated partners, address proof of the new office, NOC from owner, and DSC of designated partners. For inter-state LLP office change, an LLP Agreement amendment via Form 3 is also required. SSATAX handles LLP registered office change separately from company changes.
SSATAX's professional fee starts at ₹1,499 + Government Fees for same-city change. For inter-state or different ROC changes, pricing varies based on complexity. Government fees for MCA filings depend on the company's authorized capital and the form types involved. There are no hidden charges you receive a complete breakdown before we begin. Call +91-9773346539 for a free quote specific to your situation.
Pending ROC compliances or unresolved penalties may delay or block your registered office change application, especially for inter-state moves where the RD scrutinizes the company's compliance history. SSATAX recommends clearing all pending filings before initiating the address change. Our team can assess your compliance status and help resolve pending issues first.
